Process & Details
Retainer fee is non-refundable. R&S accepts a retainer at any time once a proposal has been approved, estimated at conservatively 1/3 the total amount. At a minimum, Client agrees that the retainer fee fairly compensates Vendor for committing to provide the Services and turning down other potential projects/clients. This amount is applied towards the total cost and allows R&S to secure a date & begin project production. Minor adjustments to a floral package may be made up until a contract is finalized closer to the event date. Once a floral package is confirmed, a contract will be provided securing all project details for both parties to sign & reference. Payments may be split for convenience, and final payment is due 2 1/2 weeks prior to the event.
Contract is a binding agreement and there can be no major changes made once both parties have signed. Additional floral contracts may be added with last minute requests, as long as the florist’s schedule permits, but no deductions may be made. Color palette/style changes may be made up to two months in advance of the event, and an additional invoice may be necessary to accommodate any higher cost flora, adding more product to create a wider range of tone and color, and/or additional labor/travel costs.
R&S hand selects the freshest flora and vessels per event from Seattle Wholesalers. Seattle Wholesale Grower’s Market offers the most variety of local WA state flowers and foliage, Northwest Wholesaler offers staple ingredients year round in all color palettes, and Mayesh provides specialty product. R&S hand forages foliage off the studio’s property and picks homegrown flowers to include when possible. Traditional glass vases are the most readily available, and ceramic/specialty vessels are able to be preordered generally with 2-4 months notice. No particular product is ever guaranteed, but R&S takes every step to preorder and source preferred flora and vessels. Substitutions may be made at the florists’ discretion.
Rentals: R&S is primarily floral focused and purchases all vases and flora per event; no rentals. Breakdown is included in final cost, and will be removed from the estimate if the client prefers to take flowers home, give arrangements away to guests, and/or remove any florals themselves. Couple must communicate in advance, or remove ahead of breakdown time, what pieces if any, they would like to keep.
Disclaimer (as detailed in final contract)
** Exclusive Florist & Florals Clause restricts a client from hiring multiple florists for the same event. This ensures the integrity of Rose and Sparrow Floral Design and protects the company and any other business from misrepresentation.
Intellectual Property
Copyright Ownership. In the event that any copyrighted work(s) are created as a result of the Services provided by Vendor in accordance with this Agreement, Vendor owns all copyrights in any and all work(s) it creates or produces pursuant to federal copyright law (Title 17, Chapter 2, Section 201-02 of the United States Code), whether registered or unregistered. Any and all products, whether tangible or intangible, produced or created in connection with, or in the process of fulfilling this Agreement, are expressly and solely owned by Vendor and may be used in the reasonable course of Vendor’s business.
Permitted Uses of Product(s). Vendor grants to Client a non-exclusive license of product(s) produced with and for Client for personal use only so long as Client provides Vendor with attribution each time Client uses Vendor’s property. Personal use includes, but is not limited to, use within the following contexts:
-In photos on Client’s personal social media pages, websites or profiles.
-Client agrees to allow photos, professional or personal, of Vendor’s work to be showcased on social media and/or website gallery page. If Client prefers restricting any images (personal or professional photographer’s gallery) from the event being shared, for privacy reasons, Client must alert Vendor in advance and request will be gladly accommodated.
Artistic Release
Style. Client has spent a satisfactory amount of time reviewing Vendor’s work and has a reasonable expectation that Vendor will perform the Services in a similar manner and style unless otherwise specified in this Agreement.
Consistency. Vendor will use reasonable efforts to ensure Client's desired Services are produced in a style and manner consistent with Vendor's current portfolio and Vendor will try to incorporate any reasonable suggestion made by Client. However, Client understands and agrees that:
Every client and wedding is different, with different tastes, budgets, and needs;
Floral Design services are often a subjective art and Vendor has a unique vision, with an ever-evolving style and technique;
Vendor will use its artistic judgment when providing Services for Client, which may not include strict adherence to Client’s suggestions;
Although Vendor will use reasonable efforts to incorporate Client’s suggestions and desires when providing Client with the Services, Vendor shall have final say regarding the aesthetic judgment and artistic quality of the Services. Dissatisfaction with Vendor's aesthetic judgment or artistic ability are not valid reasons for termination of this Agreement or request of any monies returned.
*Wholesalers may not have first choice colors/flowers/greenery available, especially due to Covid setbacks with local & international farmers/growers, transport/shipping and businesses, as well as unpredictable/ inclimate weather patterns, but Rose and Sparrow will do everything possible to meet the Client's needs. We use local seasonal ingredients and the freshest flora in the color palette and style the Client desires. We preorder product for assurance, as well as utilize local seasonal ingredients & the freshest flora in the color palette and style the Client desires.
Force Majeure
In case of catastrophic event, (natural disaster such as fires, explosions, earthquakes, hurricane, flooding, storms or infestation, or War, Invasion, Act of Foreign Enemies, Embargo, other Hostility, or any hazardous situation created outside the control of either party such as a riot, disorder, nuclear leak or explosion, or act or threat of terrorism) refunds/credits will be made available on a case to case basis.
Every effort will be made to ensure quality of product and timely delivery regardless of inclement weather and road/air traffic patterns during travel. Extreme summer heat, wind and rain are all elements out of our control and R&S will take every precaution to use materials suited to the climate, and maintain the freshness of florals as much as possible. R&S will not be responsible for decreased quality of product due to severe heat, wind or rain, and will recommend alternatives/drieds/silks for outdoor events as the season dictates. R&S will not be responsible for damage to or decreased quality of product once it is picked up, or once R&S has departed from venue after set up period. R&S is happy to make anything right during set up period that may need adjusting.
Cancellation, Rescheduling of Services or No-Show Client
If Client desires to cancel Services, reschedule Services, or if it becomes impossible for Vendor to render Services due to the fault of the Client or parties related to Client, such as failure of the Wedding to occur or failure of one or more essential parties to the Wedding to show up in a timely manner, Client shall provide notice to Vendor as soon as possible. Vendor has no obligation to attempt to re-book further Services to fill the void created by Client’s cancellation, rescheduling, no-show or if it becomes impossible for Vendor to provide the Services due to the fault of Client (or parties related to Client), and Vendor will not be obligated to refund any monies Client has previously paid towards the Total Cost. Client is not relieved of any payment obligations for cancelled Services, rescheduled Services, failing to show up for the Wedding, or should it become impossible for Vendor to provide the services due to the fault of Client (or parties related to Client) unless the Parties otherwise agree in writing. For instance, if Vendor is able to secure another, unrelated client for Jul 17, 2021, then Vendor may choose, at its sole discretion, to excuse all (or a portion of) Client's outstanding balance of the Total Cost. In the event that the Vendor is personally unable to execute the project (serious illness, personal injury, etc) Vendor will alert Client as soon as possible and make every effort to source an alternate designer and assistance necessary to fulfill the contract. In case of catastrophic event, and Vendor fails to supply, a refund will be made available immediately.
Limit of Liability
Maximum Damages: Client agrees that the maximum amount of damages he or she is entitled to in any claim relating to this Agreement or Services provided in this Agreement are not to exceed the Total Cost of Services provided by Vendor.
Loss of Product: In the event that any or all product(s) are lost, such as damage to or loss of a component of the product necessary for final delivery, Vendor shall refund Client a pro-rated portion of the Total Cost based on the amount of Services that were completed/provided against the amount of Services that were agreed to be completed/provided.
Indemnification: Client agrees to indemnify, defend and hold harmless Vendor and its affiliates, employees, agents and independent contractors for any injury, property damage, liability, claim or other cause of action arising out of or related to Services and/or product(s) Vendor provides to Client.
Appropriate Conduct/ Safe Working Environment:
Event:
The Client(s) expressly agree(s) to take best efforts to provide [Vendor] and Vendor’s staff with safe and appropriate working conditions. In the event of circumstances deemed by either [Vendor] or a bystander to present a threat or implied threat of injury or harm to [Vendor] staff or equipment, the [Vendor] reserves the right to cancel all services remaining under this Agreement and leave the event. At the [Vendor]’s discretion, the [Vendor] may enact a three-strike policy. After the first offense, the [Vendor] will make reasonable efforts to notify the Client(s) or a responsible party. If the Client(s) is/are able to respond to the threatening situation in a reasonable amount of time (maximum of 15 minutes), [Vendor] shall resume work in accordance with the original terms of this Agreement. If the threatening behavior occurs for a second time, the Client(s) will agree to remove the offending person for the remainder of the event. If the behavior occurs a third time, the [Vendor] will immediately leave the event. If the [Vendor] leaves the event early due to any offending behavior, the Client(s) expressly agree to relieve and hold [Vendor] harmless as a result of incomplete event coverage, or for a lapse in the quality of the [Vendor’s] work, and the Client(s) shall be responsible for payment in full.
Merger. This Agreement constitutes the final, exclusive agreement between the parties relating to the Wedding and Services contained in this Agreement. All earlier and contemporaneous negotiations and agreements between the parties on the matters contained in this Agreement are expressly merged into and superseded by this Agreement.
Amendment. The parties may amend this Agreement only by the parties’ written consent via proper Notice.
Material costs
Bridal Bouquet: $425 average. $350 minimum and up, depending on how complex of a color palette, the cost of particular ‘higher end’ flower preference, and overall style. Generally the higher cost is associated with the most ‘flower forward’ bouquet, richer tones, hues and textures, more variety, and ability to purchase whatever ingredients suit the color palette and style the best. Minimum pricing is based on fewer ingredients, more limited color palette (i.e. white and green) and/or more cost friendly flora.
Bridesmaids bouquet: $150 average. $100 and up, depending on flower & color preference and number of ingredients. Vases may be purchased separately to repurpose bridesmaids’ and/or bridal bouquets after the ceremony.
Toss bouquet/flower girl nosegay: $85 +
Flower girl basket and petals: $45
Rose petal aisle: light $150, full $250, extra full $350+
Boutonniere and Corsage: $25 boutonniere pin on, $45 boutonniere pocket sleeve, $45 corsage gold cuff wristlet or ‘showier’ pin on.
Headpiece, crown, collar, wreath: $75-$200 +depending on flora and scale. Simple green crown for a child would cost $50, but a full floral “queen’s crown” (more dramatic/editorial/pinned on) would cost closer to $250. Standard crown with light florals for a bride would be closer to $125.
Centerpieces/table garland: $175 average. $100 minimum, centerpiece vase cost included, depending on desired size, scale and flower preference. Smilax/elaeagnus long vine may be ordered $1000 per large box (100ft) for table garland, and preset by florist.
Note: R&S will assume all floral design, and plan set up time accordingly. If client prefers to provide vases for R&S to fill, these need to be delivered to R&S Thorp studio at least 1 week in advance. R&S does not recommend bud vases for outdoor events in central or eastern WA due to potential for high winds. R&S recommends lower, fuller, base heavy arrangements for these locales.
Installation, Altar pillars, Arbor, Wreath, Chuppah, Chandelier, tent cascading decor, mantle/entrance venue decor: approximately $750-$8,000, depending on size & scale, and what the preferred flower and materials will be. Average cost for arbor decor, or altar pillars to frame the couple is $4000. R&S does not supply an arbor structure but may supply larger scale free-standing ‘ground up’ arrangements/floral pillars, up to 7-8 ft tall, or multiple shorter arrangements to create a half grouch arch for example. R&S may also source stands for height to set arrangements on top of, for a symmetrical frame, and/or a tiered altar design with multiple arrangements at varying heights. R&S is happy to install directly onto almost any structure and get creative in how we frame a space. Drapery may be included in altar design.
Headtable spray/Barrel toppers/Aisle decor: $150 minimum, $350 standard full, approx 3 ft x 3 1/2 ft long. As a general guideline, arrangements are $100 per foot diameter, so 1 ft tall barrel topper would start at $150 and a 4 ft tall aisle/altar arrangement would start at $450.
Cake flowers: $25 minimum, $50 standard for one/two tiered cake, approximately 10 stems of flowers & greenery, set out for the cake maker to decorate upon delivery. R&S is happy to design cake flowers so please communicate accordingly where & when to locate the delivery. A cake ‘topper’, similar to a large corsage, may be designed onto a thin piece of cardboard to quickly and easily set on top of any cake for $50 +. Larger scale floral decor for a cascading design on a three tiered cake for example would be closer to $100.
service costs
Labor: 40% of materials cost. This is a ‘blanket term’ which covers loss/breakage of perishable product, flower processing (every single stem prepped and stripped of most of the foliage, fresh angle cut and in clean water), flower prep (‘reflexing’, wiring, etc), product maintenance (recutting, cleaning buckets, new fresh water), travel to pick up materials such as vessels/stands/etc, temperature regulation/cooling/studio utilities, temperature controlled transport, as well as hours spent thoughtfully and intentionally designing each piece. Cost & labor to grow flowers, time spent hand foraging materials, studio & vehicle maintenance costs, & clean up are also included.
Delivery, set up & breakdown fee: Generally starting at $250. Dependent on scale of event, location and whether additional transport and assistance/freelancers are required. Estimated cost for additional rental vans if necessary.
Breakdown fee is inclusive for every delivery order. Exceptions may be made on a case-to-case basis. Planners/coordinators/venues should not be expected to provide this service.
Repurposing Fee: $75 minimum to return or remain on site and transfer ceremony florals to a reception area. Cost may increase depending on how much assistance is needed and the locale. Laibility warrants that planners/coordinators/venue staff should not be expected to provide this service. If a client requires this service, either R&S must assist, or a family member or friend should assume any potential injury or damage to product. Florals may be large scale, bulky, fragile and heavy.
